ATM Update

On October 30, 2024, MicroStrategy Incorporated (“MicroStrategy” or the “Company”) entered into a Sales Agreement with several agents, permitting the issuance and sale of its Class A common stock up to an aggregate offering price of $21 billion over time.

On December 9, 2024, it was announced that during December 2-8, 2024, 5,418,449 shares were sold, generating approximately $2.13 billion in net proceeds. As of December 8, 2024, approximately $9.19 billion in shares remain available under the Sales Agreement.

Bitcoin Holdings Update

During the same period (December 2-8, 2024), the Company acquired approximately 21,550 bitcoins for about $2.1 billion in cash, averaging around $98,783 per bitcoin, using proceeds from the shares sold under the Sales Agreement.

As of December 8, 2024, MicroStrategy holds approximately 423,650 bitcoins, with a total purchase price of around $25.6 billion and an average of $60,324 per bitcoin.

From October 1, 2024, to December 8, 2024, the Company’s BTC Yield was 43.2%, while for the year up to December 8, 2024, it was 68.7%.
